Please read these Terms of Use ("Terms") carefully before accessing or using Keytomic (the "Service"). By accessing or using any part of the Service you ("User," "you," or "your") agree to be legally bound by these Terms. If you do not agree to all of the Terms, you must not access or use the Service.

1. Definitions

• "Keytomic," "we," "us," and "our" mean the operator(s) of the Service, together with all parents, subsidiaries, affiliates, successors, and assigns.

• "Service" means the website www.keytomic.com, our AI-powered SEO tools, content automation features, and any related software provided by us.

• "Content" means all text, graphics, data, software, audio, video, information, and other materials available on or through the Service.

• "User Contribution" means any input, text, prompt, or data that a User submits to the Service, as well as the AI-generated output resulting from those inputs.

2. Changes to Terms & Service

We may revise these Terms—and may change, suspend, or discontinue any part of the Service—at any time in our sole discretion. If we make material changes, we will post the revised Terms and provide at least thirty (30) days' notice before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

3. Eligibility & Compliance

You represent that you (a) are at least 18 years old and legally capable of entering into contracts; (b) have not been previously suspended or removed from the Service; and (c) will comply with all applicable laws, regulations, and third-party terms (including search engine policies and third-party CMS terms) when using the Service.

4. License & Intellectual Property

4.1 Ownership.

The Service and all Content (excluding your specific User Contributions) are owned by Keytomic or its licensors and are protected by intellectual property laws.

4.2 Limited License.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted.

4.3 Trademarks.

Keytomic, keytomic.com, and related marks are our proprietary trademarks. You may not use any trademarks without our prior written consent.

5. User Contributions & AI Content

5.1 Responsibility.

You retain ownership of, and are solely responsible for, your User Contributions (including AI-generated content). You acknowledge that AI generation is not error-free.

5.2 License to Keytomic.

By submitting any User Contribution or generating content via our AI, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable license to use, host, store, reproduce, and display that content in connection with operating, improving, and training our Service and models.

5.3 Prohibited Content.

You will not use the Service to generate or publish content that: (a) infringes any third-party right; (b) is unlawful, defamatory, obscene, harassing, or otherwise objectionable; (c) violates search engine "spam" policies; or (d) contains harmful code.

6. Acceptable Use & Prohibited Conduct

You agree not to:

• Use the Service for any illegal, deceptive, or fraudulent purpose.

• Interfere with, disrupt, or impair the functioning of the Service.

• Copy, scrape, harvest, or index any Content without authorization.

• Attempt to gain unauthorized access to any accounts, systems, or networks.

• Use automated means (including bots or scripts) to access the Service except through documented APIs we expressly make available.

7. AI Outputs, Automation & SEO Disclaimers

7.1 Automated Publishing & Your Responsibility.

Keytomic allows for the automated creation and publishing of content to third-party platforms (e.g., WordPress, Webflow). When you activate these features, our system acts on your behalf. You are solely responsible for reviewing all content before it is published. We do not guarantee the accuracy, originality, or quality of AI-generated text.

7.2 Search Engine Risks.

Search engines (like Google) frequently update their algorithms and policies regarding AI content and SEO optimization. We cannot guarantee that using Keytomic will improve your rankings, traffic, or domain authority. Search engines may penalize sites they believe violate their quality guidelines. By using our Service, you accept this risk and agree to indemnify and hold us harmless from any related penalties, traffic losses, or liabilities.

7.3 No Professional Advice.

The SEO insights and recommendations provided by Keytomic are based on data analysis and best practices but do not constitute professional or legal advice. You should use your own judgment when implementing changes to your web properties.

8. Fees, Payment & Refunds

8.1 Fees.

Prices for subscriptions are as listed on the Service and are subject to change at any time before purchase.

8.2 Payment Processor.

Payments are processed by third-party payment providers. We are not responsible for their acts or omissions.

8.3 Refund Policy.

First-time subscribers may request a full refund within fourteen (14) calendar days of the initial subscription payment, subject to specific usage limits and conditions.

Refunds are limited to one per customer. After the 14-day period (or if conditions are not met), all sales are final and non-refundable.

9. Modifications, Suspension & Termination

We may modify, suspend, or terminate the Service—or your access to it—at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your license to use the Service will automatically terminate, but Sections 4, 5, 7, 10–16 will survive.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Keytomic disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and results. Without limiting the foregoing, we make no warranty that:

• The Service will be uninterrupted, timely, secure, or error-free;

• Any AI-generated content is accurate, reliable, or free of "hallucinations";

• The Service will improve search rankings, domain authority, traffic, or revenue; or

• Search engine algorithms or policies will remain unchanged.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Keytomic, its affiliates, licensors, or service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or in connection with the Service or these Terms—even if advised of the possibility of such damages. Our total cumulative liability for any claims relating to the Service will not exceed the amount you paid us, if any, for the Service in the twelve (12) months before the event giving rise to liability.

12. Indemnification

You will defend, indemnify, and hold harmless Keytomic and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your User Contributions and AI-generated content; (c) your violation of these Terms or any laws; or (d) your interactions with third-party websites or services.

13. Governing Law & Venue

These Terms and any dispute arising from or related to them will be governed by and construed in accordance with the laws applicable in our principal place of business, without regard to its conflict-of-law principles. The courts located in that jurisdiction will have exclusive jurisdiction over all disputes not subject to arbitration.

14. Dispute Resolution & Arbitration

14.1 Informal Negotiations.

Before commencing formal proceedings, you agree to first contact us at support@keytomic.com and attempt to resolve the dispute informally for at least thirty (30) days.

14.2 Binding Arbitration.

If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to the Service or these Terms shall be settled by binding arbitration administered by a recognized arbitration provider, under its rules then in effect. The arbitration will be conducted in English by a single arbitrator.

14.3 Class-Action Waiver.

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or class member in any purported class or representative proceeding.

15. Severability & Waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term.

16. Entire Agreement

These Terms constitute the entire agreement between you and Keytomic regarding the Service and supersede all prior or contemporaneous understandings. The headings are for convenience only and have no legal effect.

17. Affiliate Program Terms & Conditions – Key Restrictions

17.1 Prohibition on Brand Bidding

Affiliates are strictly prohibited from bidding on our brand name, domain name, or any variations, misspellings, or derivatives thereof in any form of paid search advertising. This includes, but is not limited to:

• Bidding on our brand name (or close variants) on Google Ads, Bing Ads, Yahoo, or any other search engine.

• Using our brand name (or close variants) as keywords, in ad copy, or in display URLs.

• Engaging in "direct linking" from paid search ads to our website.
